LICENSEE AGREES THAT THE PERSON/PEOPLE IDENTIFIED ABOVE SHALL PROVIDE ALL INFORMATION AND DOCUMENTATION RELATED TO THIS AGREEMENT, INCLUDING WITHOUT LIMITATION, ALL CREDIT CARD INFORMATION, DOCUMENTATION AND SIGNATURES AND PROOF OF INSURANCE. * 🛈

Licensee represents that Licensee, and each member of or participant in Licensee as identified above or otherwise, has a thorough understanding of the safe operation of any and all video and/or photographic equipment and related equipment to be used, as well as safe procedures for video recording and photography with Picture Vehicle(s) and will exercise such standard of care at all times in connection with this Licensee. * 🛈

Section 1. LICENSE: Licensor grants Licensee permission to utilize Picture Vehicle Film for video production and/or still photography.

Section 3. PICTURE VEHICLE FEES SCHEDULE: Licensee agrees to compensate Licensor of rental price as selected below: (input number of days for all that apply)

PICTURE VEHICLE AGREEMENT SECTION 4 - 20

Section 4. SECURITY DEPOSIT: Licensee agrees to provide a cash deposit or credit card authorization in the amount of two thousand dollars ($2,500) as a security deposit ("Security Deposit"). Licensee agrees that multiple cars may require a higher deposit (Note: credit card taken for authorization/approval and is not charged unless and until amounts are due, owing and unpaid to Licensor. Please see credit card authorization document.) The Security Deposit will be held before, during and for up to 14 days after the License Period to secure payment of, and to apply to, any and all amounts owed to Licensor including, without limitation, License fees/charges/costs, additional charges/costs for Fuel or otherwise, cancellation fees, replacement cost for damaged or lost items. Licensee agrees that anticipated additional charges or otherwise that are not paid prior to the commencement of the License Period may be charged prior to or during the License Period to ensure payment in full. Licensee also agrees to immediately provide a CASH security deposit and/or CASH payment for any amount due or obligation arising hereunder if for any reason any credit card authorization/approval/charge is not honored at any time. * 🛈

Section 5. COMPENSATION: Licensee agrees to provide full payment for entire License Period in cash or cash equivalent (cashier's check, bank money order only) not less than twenty one (21) days prior to the first scheduled Shoot Date. Licensor may accept, in Licensor's sole discretion, payment made by credit or debit card. Any payment made by credit or debit card will incur an additional five percent (4%) administrative fee. * 🛈

Section 6. CANCELLATION/RESCHEDULE FEE: Licensee agrees to forfeit and pay Licensor fifty percent (50%) of the total amount of this estimate/invoice per day booked, whichever is greater, in the event Licensee cancels or reschedules any Shoot Date between seven (7) days and two (2) days before such scheduled Shoot Date. Licensee agrees to forfeit and pay Licensor one hundred percent (100%) of the total amount of this estimate/invoice per day booked, whichever is greater, in the event that Licensee cancels or reschedules any Shoot Date twenty four hours or less before such scheduled Shoot Date * 🛈

Section 7. LICENSEE'S RESPONSIBILITIES: Licensee shall protect, keep and maintain the Picture Vehicle while in Licensee's custody provided by Licensor in a good state of condition. * 🛈

Section 8. CARE OF PICTURE VEHICLE(S): Licensee agrees not to deface, obliterate, remove or paint picture vehicle without Licensor approval. Licensee is responsible for any and all damages that may occur during shooting and agrees to reimburse Licensor for any loses during rental period. Licensee agrees to protect all surfaces/floors, lights, light bar, head lights, break lights, running lights when applicable for any surface on picture vehicle. * 🛈

Section 9. LICENSEE PROVIDING OR NOT PROVIDING PROOF OF LIABILITY INSURANCE. Please select one. *

LICENSEE PROVIDING PROOF OF LIABILITY INSURANCE: Licensee shall procure and provide a certificate of liability insurance, not less than 48 hours prior to any Shoot Date, verifying insurance coverage amount of $1,000,000 and naming "Silver Dream Factory, Inc." as an "additional insured." All policies must include “Hired Auto, Non-Owned Autos and Auto Physical Damage”. Licensee agrees to compensate Licensor for the full value (replacement value without deduction for depreciation) in the event the Picture Vehicle(s) lost, stolen or missing, or broken or damaged by any cause whatsoever, whether due to Licensee's fault or otherwise, in the course of or in connection with Licensee's use thereof. Licensee also agrees to send Licensor (by hand delivery, messenger, email, fax or other effective means) a copy or image of Licensee's Certificate of Insurance no later than 12:00 p.m. on the day that is 2 days prior to any Shoot Date or the date that is 3 days prior to any Shoot Date if the Shoot Date is a Monday. Failure to provide the necessary and proper Certificate of Insurance may result in the cancellation of Licensee's shoot and subject to cancellation terms set forth in paragraph 9 of this Agreement.

Section 10 REMOVAL OF PROPERTY: Licensee shall not remove Licensor's property from Picture Vehicle, equipment, computers, light bars, lights, headlights, breaklights, running lights, seats unless Licensor has agreed in advance in writing. * 🛈

Section 11. VEHICLE CLEANING FEE: Licensee agrees that Licensor may be assess a cleaning fee in the amount of $200 or actual cost, whichever is greater, if Licensee does not leave picture vehicle(s), trunk, engine & engine compartment, interior, carpets free of debris, trash, gaffer or paper tapes, gels and any other rigging, mud, dust, dulling stray or any other form of stray products strayed on Picture Vehicle(s) by Licensee before releasing picture vehicle to driver. * 🛈

Section 12. COSTUME CLEANING FEE: Licensee agrees that Licensor will assess a cleaning fee in the amount of $5 Per Garment Per ($5 per Top, $5 pet Pant). * 🛈

Section 13. COSTUME REPLACEMENT FEE(s): Licensee agrees that Licensee will assess a replacement fee in the event that such garments are torn, scratched, ripped, stained by blood, paint or be any other means that the garment(s) are no longer fit for production. * 🛈

Section 14. VEHICLE(S): CONDITION OF PICTURE VEHICLE: The Licensor permits use of the Picture Vehicle “as is” in currently exiting condition. Licensor makes no representation or warranty as to stunt driving other than normal driving of Picture Vehicle and that the Picture Vehicle will operate within normal factory specifications. Licensee assumes all responsibility for safe and maintenance of the condition of the Picture Vehicle during Licensee’s use. * 🛈

Section 15. VEHICLE(S): LAWFULL USAGE OF PICTURE VEHICLE: The Licensee agrees to follow all laws, permit requirements subject to all and any jurisstictions where the picture vehicle will operate. Licensee also agrees to be responsible for all inpound fees, tow fees and vehicle code violation fees that may occure while in the care of the Licensee's in the evenet that Licensee operates the picture vehicle in conditions that expose the picture vehicle to damges or in a unlawful manner. * 🛈

Section 16. TRANSPORTATION OF PICTURE VEHICLE: Licensee agrees that all Picture vehicles provided by Licensor will be transported to set/location by Licensor's driver(s). Picture vehicles are not driven to set/location by the Licensee's driver(s). Large/unusual vehicles will require special transportation arrangements. Towing a Picture Vehicle must first be approved by Licensor and will only allow four wheels off the ground towing. All outside tow companies must be approved by Licensor. Licensee agrees that all delivery times are subject to traffic or other delays. Licensee must provide a map and call times are to Licensor no later than 3:00pm the day before delivery is scheduled. All location changes/company moves will require that Licensor's driver transport all Licensor's vehicle(s) between locations. Lincensee agrees that Licensee may be assessed for driver overtime, subject to standard labor laws of the State Of California or SAG/AFTRA. * 🛈

Section 17. MISCELLANEOUS: Licensee shall have no obligation to use any video recorded or photographs taken at the Picture Vehicle(s). Licensor shall have no right of action against Licensee or any other party based on the use of the material. Licensee represents and warrants that it has the power and authority to enter into this Agreement. This is the full and complete agreement between the parties. This Agreement between the parties does not constitute a joint venture or partnership of any kind. * 🛈

Section 18. GENRERAL PROVISIONS: The financial obligations under this agreement shall be binding upon, and insure to the benefit of, the successors, assigns, heirs and personal representatives of Licensor and Licensee. This agreement replaces and supersedes any and all prior negotiations, understandings and agreements between the parties hereto with respect to subject matter hereof. This agreement may not be altered without the express written consent of all parties hereto. * 🛈

Section 19. ARBITRATION: This Agreement shall be interpreted in accordance with the laws of the State of California applicable to agreements executed and to be wholly performed therein. Any controversy or claim arising out of or in relation to this Agreement or the validity, construction or performance of this Agreement, or the breach thereof, shall be resolved by arbitration in accordance with the rules and procedures of the American Film Marketing Association ("AFMA"), as said rules may be amended from time to time, with rights of discovery if requested by the arbitrator. Such rules and procedures are incorporated and made a part of this Agreement by reference. If AFMA shall refuse to accept jurisdiction of such dispute, then the parties agree to arbitrate such matter before and in accordance with the rules of the American Arbitration Association under its jurisdiction in California before a single arbitrator familiar with entertainment law. The parties shall have the right to engage in pre-hearing discovery in connection with such arbitration proceedings. The parties agree hereto that they will abide by and perform any award rendered in any arbitration conducted pursuant hereto, that any court having jurisdiction thereof may issue a judgment based upon such award and that the prevailing party in such arbitration and/or confirmation proceeding shall be entitled to recover its reasonable attorneys' fees and expenses. The arbitration will be held in Orange County, California and any award shall be final, binding and non-appealable. The Parties agree to accept service of process in accordance with the AFMA Rules. * 🛈
