2023 LOCATION LICENSING AGREEMENT

MOST COMMON QUESTIONS ABOUT THIS AGREEMENT

1) This Location Licensing Agreement is your "Location agreement" for the sets you are licensing. We can not sign your Location/release agreement(s), that would make two "competing" agreements and yours does not cover 90% of the terms that we require you to sign.

2) We Will Sign and send you a "Retention Right" document after all monies have been paid etc according to Section 9 of this agreement. This is your "Location Release".

3) Your payment will be due 21 days prior to you 1st shoot date. If you are booking less than 21 days from your first shoot date, payment is due immediately upon receiving your invoice.

4) You may cancel this agreement shoot at by day 22 prior to your first day of your scheduled shoot date without any cancelation fees. If you cancel at day 21 of sooner there will be a cancelation fee according to Section 8 of this agreement

5) Your payment for the set(s) is not the same as a Security Deposit. The deposit is held while you are shoot here and will be returned and only after all additional money owed is paid if any.

Security Deposit:(money provided by a Licensee to a Licensor to secure performance of a rental agreement or compensate for possible loss/damage or for additional costs that Licensee incurs.)

6) Credit Card Payment is NOT exstracted from your Credit Card automaticly when you submit your Agreement. We will process your Credit Card if your chose to pay with a credit card. How ever starting June 1st, we will only accept Bank wire transfers/Zelle/Cashie's Checks and Cash.

LOCATION LICENSING AGREEMENT SECTION 3-35

Section 3. COMPENSATION: (NOTE: YOUR PAYMENT FOR THE SET RENTAL IS PAID FIRST, THEN YOUR DEPOSIT) Licensee agrees to provide full payment (Cashier's Check, Certified Bank Check, Cash and or Credit Card) for entire License Period and Licensee also agrees that payment method is at Licensor's sole discretion. Licensee agrees that Licensee’s full payment (Cashier's Check, Certified Bank Check, Cash, Credit Card) for Set Rental is due not less than twenty one (21) days prior to the first scheduled Shoot Date OR not less than Thirty days (45) prior to the first scheduled shoot date in the event that Licensee scheduled five (5) days or more Shoot Dates or more the 7 total days within a 30 day period. Licensee also agrees that if credit card is rejected or declined, Licensor will notify Licensee immediately and Licensee will be required to provide a new credit card or release of the fraud restriction on current credit card Licensee has provided to Licensor. If Licensee’s card is rejected or declined a second time, Licensor will then require Licensee to provide cash or cashier’s check payment for Set Rental within 48 hours of invoicing. Failure by Licensee to provide payment within this time frame, 48 hours, may result in Licensor cancellation of Licensee’s scheduled shoot date(s) and Licensor reserves the right to assign the Licensee’s schedule date(s) to another production. If Licensee also agrees to pay with Zelle, Cash or Cashier's Check, Licensee must pay with 48 hours of invoicing. Failure by Licensee to provide payment within this time frame, 48 hours, may result in Licensor cancellation of Licensee’s scheduled shoot date(s) and Licensor reserves the right to assign the Licensee’s schedule date(s) to another production.

Licensee agrees that any payment made by credit or debit card will incur an additional three percent (5%) administrative processing fee. There will be no 5% administrative processing fee for Security Deposits unless any portion of the deposit are captured for payments and only that portion will incur the 5% administrative processing fee. *

Section 4. SECURITY DEPOSIT: (NOTE: SECURITY DEPOSIT IS NOT DUE UNTIL 5 DAYS BEFORE YOUR SHOOT DATE) Licensee agrees to provide a credit card authorization or cash*, and Licensee also agrees that security deposit payment method is at Licensor's sole discretion, in the amount of two thousand dollars ($2,000) as a security deposit ("Security Deposit") due 5 business days prior to scheduled shoot date. The Security Deposit will be held before, during and for up to 5 business days after the License Period to secure payment of, and to apply to, any and all amounts owed to Licensor including, without limitation, License fees/charges/costs, additional charges/costs for Overtime or otherwise, cancellation fees, replacement cost for damaged or lost items (including but not limited to props, sets, stages and facilities). Licensee understands that Licensee's refund may take up to 5 business days to post into Licensee's account after Licensor processes refund. Licensee also understands that Licensee's refund from a cash Security Deposit may take up to 10 working days to reach Licensee's address after Licensor processes refund. Licensee also agrees to receive a Company Check/Cashier's Check as a refund from a cash Security Deposit. Licensee agrees that Licensor is not responsible for any delays that Licensee's credit card company may place on Licensee's account in processing the refund. Licensee agrees that anticipated additional charges/costs for Overtime or otherwise that are not paid prior to the commencement of the License Period may be charged prior to or during the License Period to ensure payment in full. Licensee also agrees that if credit card is not honored or declined, Licensor will notify Licensee immediately and Licensee will be required to provide a new credit card or release of the fraud restriction on current credit card Licensee has on file with Licensor. If Licensee’s card is not honored, Licensor will then require Licensee also agrees to provide cash or cashier’s check payment to secure a Security Deposit within 48 hours. Failure by Licensee to provide payment within this time frame, 48 hours, will result in Licensor cancellation of Licensee’s scheduled shoot date(s) and Licensor reserves the right to assign the Licensee’s schedule date(s) to another production. Licensee agrees that Other accepted forms of payment for security deposit such as cash, Bank Wire Transfer, Cashier's Check and additional amounts may be required and are at the Licensor's sole discretion.

*Licensee also agrees that credit card information will need to be submitted with the Agreement regardless if a cash deposit is required from the Licensee.

There will be no 5% administrative processing fee for Security Deposits, but will be applied only if monies are extracted from the deposit for, but not limited to, add-ons, overtime, L&D, additional services, etc.

Section 4.1 COPIES/OFFICE SERVICES: Licensee agrees that all copies/printing/duplication services provided by Licensor will incur a $25 service fee per day. Licensee agrees that $25 service fee does not include copies/printing/duplication. Licensee will incur additional charges for copies/printing/duplication services at $0.25 per B&W copies/printing/duplication text documents per side and $1.00 per B&W copies/printing/duplication artwork or combination of text and artwork per side and $1.50 per COLOR copies/printing/duplication artwork or combination of text and artwork or text only documents per side. Licensee also agrees that Licensor will be available for copies/printing/duplication services 1 hour after general crew call time or when Licensor staff has serviced all Licensee's load-in and safety needs. Licensee also agrees that Licensor will not allow Licensee to connect to Licensor's printers or computers. Licensee must email all documents via Licensor's email accounts. Licensee agrees that all copies/printing/duplication services are at Licensor's sole discretion to perform copies/printing/duplication services. *

Section 5. SHOOT DATES: Shoot Dates begin at 7:00 a.m. and conclude at 7:00 p.m. unless otherwise agreed in writing by Licensor ("Shoot Date Period"). The Premises must be completely vacated and Licensee and all related people, equipment, supplies, waste (other than waste properly deposited in the Dumpster as described in Section 15) and other possessions of Licensee completely off the Premises not later than 7:00 p.m. on all scheduled Shoot Dates unless otherwise agreed in writing by Licensor. Shoot Date Periods do not include additional time for Licensee's coffee breaks, lunch breaks or other delays. In the event that Licensee does not vacate the premises and remove all people, equipment, supplies, waste (other than waste properly deposited in the Dumpster) and other possessions of Licensee from the Premises prior to the end of each Shoot Date Period ("Overtime"), Licensee will incur additional Overtime charges in the amount of $250 for any portion of any hour Overtime, Overtime Charge Billed in full hours increments. Licensee agrees that any overtime purchased in advanced is non-refundable or applicable to any other services. In the event that Licensee shoot date period is scheduled to begin at 7:00 p.m. and conclude at 7:00 a.m. (“After Hour Shooting”) Licensee agrees that Licensee’s shoot Date Period shall commence only after any prior licensee has completely vacated the Premises and remove all related people, equipment, supplies and waste (“Late Start”). In the event of a Late Start, Licensee agrees to completely vacate the premises and remove all related people, equipment, supplies and waste at the earlier of (1) the conclusion of the total time scheduled for the Licensee’s originally schedule After Hour Shooting Shoot Date Period, or (2) one half hour prior to the scheduled start time for any other licensee’s use of the Premises. Licensee acknowledges and agrees that this may result in a Licensee Period of less time than originally scheduled and that no credit or offset will be provided on account of After Hour Shooting time that is less that originally scheduled. *

Section 5.1. NON-VACATED EQUIPMENT, PROPS ETC: Licensee agrees to make all arrangements to have all pick up/deliveries of Licensee's related, equipment, props, Flats, supplies and other possessions and vacate Licensor's property unless otherwise agreed in writing by Licensor ("Shoot Date Period"). In the event that Licensee does not vacate the premises and remove Licensee's related equipment, supplies, props, flats and waste Licensee will incur additional charges of $200 for per day storage fee in addition to any charges described in SECTION 5. *

Section 5.2. NON-VACATED VEHICLES: Licensee agrees to make all arrangements to have all pick up/deliveries of Licensee's related vehicle(s) and vacate Licensor's property unless otherwise agreed in writing by Licensor ("Shoot Date Period Allotted Licensed Time"). In the event that Licensee does not vacate the premises and remove Licensee's related vehicles within "Shoot Date Period Allotted Licensed Time", Licensee will incur additional charges of $200 per hour and Licensee's related vehicle(s) will be immediately towed at Licensee's expense including storage fees. *

Section 5.3. VERIFICATION OF ALL RENTED EQUIPMENT: Licensee agrees to make available Licensee's key grip, best boy or any qualified hired crew to count and verify all Licensor's rented equipment (3-Ton or 1-Ton Grip & Lighting Packages)before equipment load-in can begin. Licensee also agrees that time counting equipment will be as part of licensee's allotted 12 hours. Licensee agrees to be responsible for all gear that is missing, lost or damaged. Licensee also agrees to make available Licensee's key grip, best boy or any qualified hired crew to count and verify all Licensor's rented equipment returned before equipment load-out can begin. Licensee also agrees that time counting out equipment will be as part of licensee's allotted 12 hours and overtime charges will apply if counting and load-out exceeds Licensee's allotted 12 hours. *

Section 5.4 CALL TIME(S): Licensee agrees that all call time(s) will begin at 7am for daytime slots and 7pm for nighttime slots. Licensee agrees that all call time(s) that begin before or after the 7am or 7pm time slots (Time-shift) will incur additional charges at $250 per hour and Licensee also agrees that licensee 12 hour allotted scheduled time will begin at licensee's new call time(s). Licensee also agrees that all time-shift(s) are at the sole discretion of Licensor and subject to availability. If Licensor grants a Time-Shift, Licensee agrees to fill out an "ADD TIME-SHIFT-OVERTIME-NIGHT SHOOT" agreement in order to facilitate the Time-shift. Licensee will incur an additional fee, $250 per hour shifted in accordance to the agreement. *

Section 6. ELECTRIC SERVICE: Unless otherwise agreed in writing, electric service and a DISTRIBUTION PACKAGE is included at no additional charge and are provided at the Premises through designated 200 AMP Camlock 3 phase power box, 200 distro box, pre-run 100 ampwhips, split to 4-60 amp whips and terminate to 4-60 amp gang boxes. (200 AMP total output). In addition 3-5 ton air conditioning units are included at no additional charge. *

Section 7. CREW COMPENSATION: Unless otherwise agreed in writing, Licensor shall not provide production crew or staff to support Licensee's video production under this Agreement. Upon written agreement, Licensor may provide crew and/or staff to support Licensee's video production and/or photography session at additional cost to Licensee. In the event that such crew and/or staff are provided, Licensee agrees that all individual crew and/or staff that are provided by Licensor to support Licensee's production will be trained and provided safe working conditions in accordance with all applicable federal and State of California labor laws and in accordance with any applicable union and motion picture industry standards. Licensee further agrees to provide adequate and customary support, food, beverages, and breaks to crew and staff provided by Licensor for safe and effective video production and photography. Licensee agrees that all compensation to crew and staff provided by Licensor will be paid the Licensor only and that Licensor shall be solely responsible for any payroll taxes, state and federal taxes and withholding, and workmen's compensation. *

Section 8. CANCELLATION/RESCHEDULE FEE: Licensee agrees to forfeit and pay Licensor fifty percent (50%) of the total amount of this estimate/invoice or $1,275 per day booked or the prevailing rate of any one set, whichever is greater, in the event Licensee cancels or reschedules any Shoot Date between twenty one (21) days and two (2) days before such scheduled Shoot Date. Licensee also understands that Licensee's last day to cancel without incurring a cancellation/reschedule fee is (22) days prior to Licensee's first day of scheduled date(s). Licensee agrees to forfeit and pay Licensor one hundred percent (100%) of the total amount of this estimate/invoice or $1,275 per day booked or the prevailing rate of any one set, whichever is greater, in the event that Licensee cancels or reschedules any Shoot Date or set(s) two days or less before such scheduled Shoot Date or in the event that Licensee cancels or reschedules, five (5) or more Shoot Dates, within forty five (45) days of the first such scheduled Shoot Date. Licensee also understands that Licensee's last day to cancel without incurring a cancellation/reschedule fee is forty five(45) days prior to Licensee's first day of scheduled date(s). Licensee agrees to notify Licensor in writing via "The Cancellation Request" Form or "The Date Change" form if Licensee cancels or reschedules licensee's scheduled date. Licensor will not accept any other form of notification. Licensee also agrees to forfeit one hundred percent (100%) of any or all set(s) payment amount if Licensee cancels on the same day of scheduled date and will not be granted any credit, refund or continuance. *

Section 9. LOCATION STANDING SET(S) RETENTION OF RIGHTS: Licensor shall sign and issue a Location release "Rights Of Retention" to Licensee only after Licensor has: (1) verified that Licensee have been completely vacated from the Premises and all people, equipment, supplies and waste removed, and (2) after Licensee has paid any and all amounts due in accordance with this Agreement. *

Section 10. LICENSEE'S RESPONSIBILITIES: Licensee shall protect, keep and maintain, in his custody, all facilities, standing set(s), furnishings, equipment and props provided by Licensor in a good state of condition. *

Section 11. SPECIAL EFFECTS & GUN/WEAPONS: Licensee shall NOT use pyrotechnics/fire FX or guns/weapons with blanks or water effects or anything FX that may cause harm/death to crew and or damage set(s), stage(s), back-lot or within the premises/property of the address above unless arrangements have been made and as agreed by the Licensor and such use is undertaken in a legal and safe manner. Licensee also agrees to provide all necessary qualified certified safety personal and equipment to perform all pyrotechnics, fire FX, the discharge of weapons or water effects or anything of that nature at Licensee's expense. Licensee is also responsible for all additional charges and fees for prep time on set(s), stage(s), back-lot or within the premises to perform all safety details. If Licensor agrees to allow firing guns/weapons, pyrotechnics, fire effects Licensee agrees to apply for a permit from the City of Anaheim to perform pyrotechnics, fire effects and hire all necessary certified personnel that the City of Anaheim requires to perform all pyrotechnics, fire effects in a safe and legal manner. Licensee also agrees that Licensor will not allow any real gun/weapons that can fire a real bullet. Licensor will only allow "blank firing or non-firing prop guns/weapons. Licensee agrees that pyrotechnics, fire effects, gun/weapons usage is at the sole discretion of the Licensor. *

Section 11.1 WATER SPECIAL EFFECTS: Licensee agrees to provide GFCI (Ground-Fault Circuit Interrupter) extension cords or adaptors for lighting fixture(s) or any equipment that requires AC power to operate and is within a "safe" radius of a bathtub, bucket of water or any object that is retaining open water. Licensee also agrees to provide GFCI (Ground-Fault Circuit Interrupter) extension cords or adaptors for lighting fixture(s) or any equipment that requires AC power to operate that is within a "safe" radius any type of water F/X rain makers or any F/X that may splash or sprinkle onto such equipment. All water F/X are at Licensor's sole discretion. *

Section 12. CARE OF STANDING SET(S) AND FACILITIES: Licensee agrees not to deface, obliterate, remove or paint sets without Licensor approval. Licensee is responsible for any and all damages that may occur during shooting on standing sets or stages, including props, furniture, equipment and facilities (facility building, parking lot )and agrees to reimburse Licensor for any loses during rental period. Licensee will not be permitted to remove including but not limited to furniture, appliances, pictures, lamps or lamp bulbs, clocks in production office, Makeup room, lobby, green room, entry way, office hallway, bathrooms and facility offices for any reason. Licensee agrees to re-patch/paint and or repair any damage, hole(s), residue left from any adhesive(s), tape marks left on set(s) surfaces at Licensee's expense and before Licensee leaves the premises on the day of shooting. Licensee agrees that to make repairs of said set(s) surfaces may cause Licensee to be assessed OVERTIME if the repairs go beyond the agreed allotted rental period (12 hours). Licensee agrees to compensate Licensor $5 per hole nailed (no larger than a 1/16 of an inch), $10 for drilled or screwed on set(s) (no larger than 1/8 of an inch) surfaces regardless of the repair made on surface by Licensee. (Holes larger than any defined will be calculated by the Square inch at $160 per sq. in. ). Licensee also agrees to compensate Licensor $75 per hour for Hospital flooring repairs, touch ups and $1,000 for full repaint if necessary. Licensee agrees to protect all surfaces/floors (Hospital, house, green screen, all back-lot stores and airplane by way of “Ram Board” and or “layout board” or when applicable for any surface on premises. Licensee will not be permitted to procure any outside contractors, in the event repairs are needed to be made on the facilities (structural, cosmetic, plumbing or electrical) other than by the recommended contractors of the Licensor’s facilities property management company. Any such repairs initiated by Licensee will be considered unauthorized by Licensor. Licensee also agrees to pay for any costs incurred and will be responsible for any additional damages that may result from an outside contractor attempting to make repairs to the facilities. *

Section 12.1 HOSPITAL STANDING SET: In addition to the stipulation in SECTION 12 Licensee also agrees protect and cover all flooring, door jams and casings with Ram Board or Layout Board or other cardboard product made for that specific type of protection in the Hospital Standing Set prior to lighting, decorating or any work prepping the set. Licensee also agrees not to use any type of adhesive tapes on the Hospital Standing Set floor. Licensee also agrees that damages to the floor will incur additional fee up to but not limited to $1,000 for a full repaint of the Hospital Standing Set floor.

Section 12.2 BLOOD F/X: Licensor must approve all blood F/X prior to Licensee's day of shooting. Licensee also agrees to pay for any costs incurred and will be responsible for any additional damages that may result from blood F/X on any surface of the stage/facilities inside or outside any shooting area. Licensee also agrees that permission granted by Licensor for the use of blood F/X may result in additional charges and repairs from Licensee's use of any blood F/X while on the premises. Licensor agrees to allow Licensee to test blood F/X on a small portion of set or flooring that Licensee is seeking to use blood F/X as part of a tech-scout. All blood F/X are at Licensor's sole discretion. *

Section 12.3 COVID-19 SAFETY PROTOCOL, SANITIZATION & DISINFECTING, COVID SAFETY OFFICER: Licensee is responsible for all production crew's safety while on the premises and is required to abide by the State Of California's Safety Workplace Guidelines (https://covid19.ca.gov/industry-guidance/#top) and or the DGA, SAG-AFTRA, IATSE and Teamsters’ Committees for COVID-19 Safety Guidelines (https://www.sagaftra.org/files/sa_documents/ProductionSafetyGuidelines_June2020.pdf) regardless if Licensee is a non-union production or Licensee will not be granted entrance to Silver Dream Factory if such guidelines are met. Licensee also agree to provide cleaning supplies and will sanitize/Disinfect all props, furniture, tables, chairs while in all scheduled set(s) and areas (including bathrooms) production will occupy for cast and crew and production. Licensee also agrees to provide any and all Covid-19 personal (Covid Officer) and protective equipment to cast and crew when necessary. Covid Officer must take temperature readings and safety measures for all cast & crew before entrance is granted. Licensor will not grant entrance to anyone with a fever. Licensor may also not grant entrance if no fever is present but is symptomatic of Covid-19 such as persistent but not limited to cough/sneezing, or chest congestion, vomiting etc.

Section 12.4 SET SAFETY:Licensee is responsible for all production crew's safety and facility staff while on the premises. Licensee also agrees to provide cable crossovers or mats to pervent trip hazards from cables or any such item that may cause trip hazards. Licensee also must maintain clear paths & walkways from equipment and props in staging areas, sets and all work areas.

Section 12.5 FOOD and DRINK & CONSUMPTION: Licensee agrees that any food, snacks, candy and flavored drinks are not permitted in Silver Dream Factory building, except bottled waters. Flavored drinks are permitted only in spill-proof containers approved by Licensor. Flavored drinks, regardless of container, are not permitted in the building at 1181 N. Knollwood Cir or on the Standing Sets. Licensee will be assessed $25 (Twenty Five) per violation seen in person or on CCTV if food, snacks candy and flavored drinks are found opened or and are being consumed anywhere in the Silver Dream Factory building or in a set(s). Licensee is permitted to have food in Crafty building or anywhere outside on the Silver Dream Factory premises. Licensee is also permitted to have food as a prop on set(s) for the purpose of shooting scenes.

Section 12.6 SIGNAGE/ART/PHOTOS/FRAMES IN STANDING SET(S) AND FACILITIES: Licensee agrees not to deface, obliterate and damage, but not limited to all signs/art/photos/frames in all standing sets. Licensee is responsible for any and all damages, but not limited to signs/art/photo/frames that may occur during shooting on standing sets or stages. Licensee is responsible to return all signs/art/photos/frames to their original placement and with the original adhesive. Licensee will incur additional charges for each signs/art/photos/frames that is not in place to their placement and or is not returned with its original adhesive. Licensee agrees to compensate Licensor $10 for each signs/art/photos/frames non-returned to original placement and $10 per signs/art/photos/frames not placed with original adhesive. *

Section 12.7 CLEARED SIGNAGE/ART/PHOTOS/LOGOS IN STANDING SET(S) AND FACILITIES: Licensor makes no guarantee that all signage, art, photos or logos are cleared pieces of work. Licensee assumes all responsibility for any legal action for recording any and all signage, art, photos or logos that are not cleared. Licensee understands that not all signage, art, photos or logos may fall under public domain and is up to Licensee to do their due diligence to determine all signage, art, photos or logos that require clearance or have been cleared by Licensor. *

Section 13. STUDIO TEACHER: Do I Need To Hire A Studio Teacher?) Licensee agrees to abide by all state and federal laws regarding the presence/employment of any minor under the age of 18, including infants, on the Premises. Licensee agrees to provide a certified studio teacher/California state certified welfare worker for all children/minors under the age of 18 if they are in any way present for or taking part in the video production and/or photography at the Premises (whether as extras, in supporting roles or as main talent). Licensee agrees to notify Licensor of any minor(s) working on premises as extras, in supporting roles or as main talent by written notice (e-mail, traditional letter currier or overnight services) provided to Licensor not less than 24 hours prior to any Shoot Date. Failure to notify Licensor by written notice more than 24 hours prior to any applicable Shoot Date or not providing a certified studio teacher/California state certified welfare worker on set may result in cancellation by Licensor and forfeiture and payment of cancellation fees as set forth in Section 8 and the minor/infant will not be allowed to work on set. Section 14. REMOVAL OF PERSONAL PROPERTY: Licensee shall not remove Licensor's personal property including sets, equipment, furnishings or props from the Premises unless Licensor has agreed in advance in writing. *

Section 15. RUBBISH DISPOSAL FEE: Licensee has use of one (1) three (3) yard dumpster for general trash disposal during each 12 hour Shoot Date Period ("Dumpster"). Licensor's Dumpster shall be used for waste generated from craft services, catering, general production paperwork and makeup only. Licensee agrees not to dispose of any lumber, flats, doors, windows, furniture, props, Ram Board or similar floor protection, layout board, paints, toxic substances or materials, or foam core in the Dumpster or in any area immediately surrounding the Dumpster. Licensee agrees to reduce the size of boxes and to cut or flatten all boxes deposited in the Dumpster. Toxic or controlled materials, art department rubbish (that may/may not contain toxic substances), and large items (exceeding 3 cubic feet) may NOT be disposed of in the Dumpster or left on the Premises after any Shoot Date Period. In the event that the Dumpster is filled over capacity, Licensor will be subject, in Licensor's sole discretion, to additional charges of $160 per Dumpster pickup that exceeds the initial Dumpster load *

Section 16. CLEANING FEE: Licensee agrees that Licensor may be assess a cleaning fee in the amount of $300 or actual cost, whichever is greater, if Licensee does not leave stages, sets, lobby, production office, makeup room, green room, parking lot or any area used by Licensee in a clean manner and/or does not return props, furnishings\and equipment that are moved to its storage, staging and/or original location. Licensee also agrees to perform cleaning duties listed on the "PA WORKSHEET" link http://www.silverdreamfactory.com/pa-worksheet. Licensee also agrees to perform cleaning duties every day if Licensee has consecutive days rented. *

Section 17. STANDING SET(S): Condition of Premises and Standing Sets: The Licensor permits use of the Premises “as is” in currently exiting condition. Licensor represents and warrants that (a) Licensor is the owner and/or authorized representative of the Premises and/or the legal occupant/tenant in control of the Premises who controls rights granted herein; (b) Licensor has the authority to grant Licensee the permission and rights herein granted and no one else’s permission is required with respect to the Premises; and (c) the Premises is maintained in compliance with all applicable federal, state and local laws, rules, regulations, codes and ordinances and is free of any and all patent or latent defects or illegal conditions. Licensee understand that the standing sets, including some props, are specially designed, installed and maintained as may be suitable for video, cinematography and similar production requirements and, as such are neither designed nor constructed in accordance with any Uniform Construction Codes or other design or construction standards generally applicable to public consumption. Licensee assumes all responsibility for safe and maintenance of the condition of the premises during Licensee’s use. Licensee is responsible for inspecting and determining if set(s) are suitable for their intended use. *

Section 17.1 STAGING AND STORING EQUIPMENT IN STANDING SET(S): Licensee agrees not to store or stage any miscellaneous equipment on Standing Set(s). Licensee agrees to store or stage and prep all equipment in a designated staging area designated by Silver Dream Factory. *

SUSPENDED DURING COVID PENDEMIC Section 18. SHARING THE FACILITIES: Licensee agrees that Licensor may exercise option to rent the Backlot or Stage Areas to an additional Licensee while Licensee occupies current agreed set area(s). Licensor guarantees that no two Licensees will occupy a Stage Area or the Backlot at the same time. Licensee agrees to share with additional Licensee parking areas and stage and house power. Licensee understands that Licensor may rearrange production office and other sections of the facility to accommodate both productions as efficiently as possible. Licensee understands that Licensor has made arrangements with the additional Licensee to keep additional Licensee’s crew to a minimal headcount to reduce possible noise contamination. Licensee agrees and understands that Licensor may require Licensee to maintain crew a lower noise level while sharing the facility to reduce possible noise contamination to other crew sharing the facility. Licensee agrees that Licensor is not responsible for additional Licensee’s crew or conduct that may possibly cause noise contamination or delays. *

Section 19. HARD OUT TIME: Licensee agrees that Licensor, Site Rep, employees of Silver Dream Factory shall have full discretion to call a forced wrap and conclude Licensee's production and facilitate Licensee's warp if Licensor, Site Rep, employees of Silver Dream Factory estimates that Licensee's "Hard Out" time might overlap into another production's scheduled load-in start time. Licensee also agrees that in the event that Licensor, Site Rep, employees of Silver Dream Factory shall call a forced wrap and Licensee was unable to complete or begin to lens in any scheduled set(s), Licensee will forfeit such set(s) and will not be granted any credit or continuance for said set(s). Licensee also agrees, that in the event Licensee is unable to clear the premises by the scheduled hard out time, Licensee will incur a $300 fee plus any overtime charges incurred by Licensee. *

Section 19.1. VEHICLES: Licensee agrees that Premises parking lot must be completely vacated of all vehicles, trailers and trucks completely off the Premises parking lot not later than 7:00 p.m. or over the contractual allotted time, time-shifts or overtime on all scheduled Shoot Dates unless otherwise agreed in writing by Licensor. Licensee agrees that no vehicles, trailers and trucks may be left overnight unless otherwise specified in writing by Licensor and will incur additional charges. Licensee agrees that if vehicles, trailers and trucks are not vacated from premises or abandoned and left on the premises, Licensor may tow licensee's vehicles, trailers and trucks off premises at Licensee's expense including but not limited to tow and storage fees by tow company authorized by Licensor. Licensee also agrees, that in the event Licensee is unable to clear the premises of vehicles, trailers and trucks by the scheduled hard out time, Licensee will incur a $300 fee plus any overtime charges incurred by Licensee. *

Section 20. LICENSOR SITE ACCESS: Licensee agrees that Licensor, Site Rep, employees of Silver Dream Factory shall have full access to any set(s) including Licensee’s assigned set(s) at any time during Licensee’s production without interference to Licensee’s production. Licensee also agrees that Licensor, Site Rep and employees of Silver Dream Factory will also have full access to observe any and all of Licensee's activities while on the premises. Licensee also agrees that Licensor, Site Rep and employees of Silver Dream Factory shall halt Licensee’s production at any time if any safety requirements are in violation and are not rectified immediately. Licensee also agrees that Licensor shall not grant or credit any portion of the allotted time lost while rectifying safety violations. *

Section 21. AUDIO PLAYBACK LEVELS: Licensee agrees that they may be required to reduce audio playback levels if another production is shooting in an interior set or backlot. Licensee may be required to use playback levels that are lower than Licensee may have used in other situations. Licensee also agrees to make necessary adjustments to playback levels during the course of shooting if there is interfere with another production occupying another set. *

Section 22. CONTROLLED SUBSTANCES: Licensee agrees that Licensee and all participants will not use, possess, solicit for, or sale narcotics or other legal/illegal drugs, alcohol, marijuana and or abuse prescription medication with or without a prescription on Silver Dream Factory premises. Licensee agrees that Licensor may take action to remove anyone who is in violation of this policy and or immediately cancel the Licensee's agreement and remove Licensee from the premises. Licensee also agrees that Licensor may take action to remove anyone under the influence or appears to be under the influence of legal/illegal drugs, alcohol, marijuana, prescription medication if said person(s) is (are) not able to perform their duties in a safe manner or risks the safety of other crew or staff and or immediately cancel the Licensee's agreement and remove Licensee from the premises. Licensee agrees that Licensee will forfeit 100% of Licensee's payment and payment still outstanding and that Licensor is not under any obligation to refund or return any portion of Licensee's payment(s). *

Section 23. SHOOTING LICENSED SET(S): Licensee agrees that any shooting on Licensor's stages, sets, backlot or Silver Dream Factory building/premises (side & front), whether intentional or unintentional, other than specified licensed set(s) or with prior written permission of Licensor, will be subject to claims for breach of contract damages and/ or additional charges according to Licensor's rental schedule. Licensee shall not be permitted under any circumstances to shoot record sound in production office, lobby, green room, makeup room entry way, office hallway, bathrooms and facility offices. *

SECTION 23.1 CHECK-IN/LOAD-IN: Licensee agrees to be responsible for directing crew and talent to specific area for check-in and within the Licensor's premises. Licensee is also responsible for operating the manual security barrier (CLICK FOR BARRIER VIDEO) for equipment vehicle(s) to enter lot area for loading/loading equipment, catering and deliveries.

Section 24. ANIMALS: Animal(s) are allowed if, accompanied by a certified animal trainer, the animal(s) is trained, animal has kennel when not on set. Family pets are not allowed on set or anywhere on Silver Dream Factory property. Section 25. TECH-SCOUT/SCOUTS: Licensee agrees that Licensor will grant Licensee a "Tech-Scout" by appointment only, after Licensee's agreement has come into full effect 21 days prior to Licensee's scheduled Shoot Date and Licensor has received full payment. Licensor will grant Licensee one full hour (60 Mins) at no charge for to "Tech-Scout" on dark days for first hour, $125 per hour thereafter, and up to one half hour (30 Mins.) at no charge when studio is in use. Licensor will not grant access to Licensee for a "Tech-Scout" when the set(s) Licensee is seeking to "Tech-Scout" is occupied as a "Hot-Set". Licensor's "Tech-Scout" designated hours at no charge: Dark days (studio not in use) 10am-2:00pm Mon.-Fri. Shoot Days (studio in use) 1pm Mon.-Fri. or when present occupants breaks for lunch. Licensor will make "Tech-Scouts" available "after-hours" (7pm) or when current occupant have completely vacated the premises access to Licensee for "Tech-Scouts" at $225 hour per Mon.-Fri. $225 Per Hour Sat.-Sun with a 2 hour minimum. Licensor dose not guarantee that Licensee will have access to scheduled set(s) for "Tech-Scout" due to Licensor's or Licensee's scheduling conflicts or that Licensee will have a full half hour (30 mins) during current occupants lunch break. Licensor is not responsible changing lunch schedules Licensee's occupied set(s)and that Licensee may not have any access to tech scout at the exact scheduled appointed time for Licensee's tech scout.

NOTE* Licensee also agrees that Licensee may not have access to set(s) for "Tech-Scout" and may have to use a virtual "Tech-Scout" due to Covid-19 protocals. *

SUSPENDED DURING COVID PENDEMIC Section 25A. LUNCH TIME SCOUTS/TOURS: Licensee agrees to grant to Licensor's employee(s) and staff access to all set(s)/Facilities for the purpose of scouting and touring the facility during current Licensee's lunch break. Licensor agrees that all scouting /tours will be supervised by Licensor, Licensor's employee(s) and staff and will escort all crew scouting and touring the facility and "Hot sets". *

Section 26. SET PREP: Licensor is under no obligation or implies to prepare/prep set(s), move props or re-set Licensee's set(s) prior, during or after to Licensee's scheduled date of shooting. Licensor will make every effort to have Licensee's set(s) back to the "Neutral" set position prior Licensee's scheduled date of shooting. Licensee's agrees that set(s) may not be in a neutral position when Licensee views during tours or scouts the set(s) that Licensee has scheduled. *

Section 27. MULTI SET RENTALS: Licensor is under no obligation to refund or credit any set(s) that are not "shot-out" if Licensee fails to complete shooting scheduled of all assigned set(s)and agrees to forfeit One Hundred percent (100%) the total amount of invoiced set rental of set(s) not "shot-out" during a day of multi set shooting. *

Section 28. BACKLOT SET AMBIENT SOUNDS: Licensee understands that BACKLOT SET and areas included (side & front) are outside/Exterior set areas susceptible to sound contamination from outside sources that are out of Licensor’s control. Licensor make no guarantee that there will not be sound contaminations including but not limited to other nearby businesses, autos, trucks, motorcycles, animals including birds in or out of the BACKLOT SET and area included (side & front), all flying machines, weather, humans, construction. Licensee also agrees that Licensor is not responsible for sound contaminations that may not have been present when Licensee scouted BACKLOT SET and areas included (side & front) that are present during Licensee’s shooting date. Licensee agrees that Licensor is not obligated to credit time lost during sound contaminations that are out of the control of Licensor. Licensee also agrees that Licensee is solely responsible for making the determination that Licensor’s BACKLOT SET and areas included (side & front) are suitable and are acceptable for Licensee’s production. *

Section 28.1. STAGE AMBIENT NOISE LEVELS: Licensee agrees that Licensor has made efforts to "soundproof" the facility stage located at 1181 N. Knollwood Cir, Anaheim Ca. that have resulted in a reduction of outside ambient noise levels and reflections. Licensee agrees that Licensor makes no guarantee and does not imply that facility is 100% soundproofed. Licensee agrees that there may be sound contaminations including but not limited to other nearby businesses, autos, trucks, motorcycles, animals including birds in BACKLOT area, all flying machines, weather, humans, construction. Licensee also agrees that Licensor is not responsible for sound contaminations that may not have been present when Licensee scouted set(s) that are present during Licensee’s shooting date and allotted schedule. Licensee agrees that Licensor is not obligated to credit time lost during sound contaminations that are out of the control of Licensor. Licensee also agrees that Licensee is solely responsible for making the determination that Licensor’s facility/set(s) and areas are suitable and are acceptable for Licensee’s production. *

Section 29. ACTION TO REMOVE/EJECT: Licensor reserves the right to take action to remove/eject from the property (1181 N. Knollwood Cir, Anaheim CA 92801) any member of Licensee’s production staff (regardless of position), crew, cast or anyone hired or not hired if they are or appear to be inebriated or become belligerent, combative, verbally abusive, uncooperative, is unsafe or display aggression both verbal or physical, bullying, towards Licensor, Silver Dream Factory staff, associates of Silver Dream Factory or other crew-members. Said person will be removed immediately, production will be shut down until the issue is rectified. If this individual does not cooperate to vacate the premises, their continued presence will be tantamount to trespassing and police and legal action will be initiated. The industry code of conduct does not permit this type of behavior. Licensee also agrees that the removal of any cast/crew that may affect the Licensee to ability complete the shooting of licensed set(s) is solely the financial responsibility of the Licensee and that the Licensor is not obligated to refund or credit or extend any portion of the Licensee allotted licensed time slot. Licensee also understands that there may be legal consequences if the subject(s) in question does not leave the premises immediately and or for any physical damages. *

Section 30. HOLD-OVER DAY(s): Licensee agrees that in the event Licensee has booked more that one day that are non-sequential and that any day(s) a set if left dressed, partially dressed or equipment is left on the stage and or premises, will constitute a Hold-Over Day and Licensee will incur additional full day rate charges per Hold-Over Day. Licensee also agrees that all Hold-Over Days must be paid in advanced are subject to the same cancellation terms & conditions as normal rental day(s) and are at the sole discretion of Licensor. *

Section 30.1 PORNAGRAPHY: Licensor understands that the artist has full and total choice of expression. However, as a policy, Licensor does not allow pornography, real sexual acts and lewdness, exploitative of children, debasement of women and anything illegal on the property (1181 N. Knollwood Cir Anaheim Ca 92801. Nor will Licensor participate in the desensitization of or the glorification of rape, suicide whether in visual or audio form. Licensee understands that Licensor reserves the right to refuse service to anyone. Licensee understands that particapating in pornagraphy, real sexual acts and lewdness, exploitative of children, debasement of women, desensitization of or the glorification of rape, suicide whether in visual or audio form while on the premiss will be in breech of this agreement and will be ejected without refund. Licensee also understands that all footage, files, hardrives and any materials that contain such acts will be confiscated and reported to City, County, State and Federal agancnies for review. *

Section 31. MISCELLANEOUS: Licensee shall have no obligation to use any video recorded or photographs taken at the Premises. Licensor shall have no right of action against Licensee or any other party based on the use of the material. Licensee represents and warrants that it has the power and authority to enter into this Agreement. This is the full and complete agreement between the parties. Licensee also agrees to provide Licensor with 10 green M&M's (PLAIN) in a small plastic baggy prior to shoot beginning. This Agreement between the parties does not constitute a joint venture or partnership of any kind. *

Section 32. LICENSEE'S CALL SHEET INFORMATION: Licensee must provide a Call Sheet to Licensor for Licensee's scheduled day(s) of shooting via email or hard copy prior to shooting commencing. *

Section 33. GENERAL PROVISIONS: The financial obligations under this agreement shall be binding upon, and insure to the benefit of, the successors, assigns, heirs and personal representatives of Licensor and Licensee. This agreement replaces and supersedes any and all prior negotiations, understandings and agreements between the parties hereto with respect to subject matter hereof. This agreement may not be altered without the express written consent of all parties hereto. *

Section 34. ARBITRATION: This Agreement shall be interpreted in accordance with the laws of the State of California applicable to agreements executed and to be wholly performed therein. Any controversy or claim arising out of or in relation to this Agreement or the validity, construction or performance of this Agreement, or the breach thereof, shall be resolved by arbitration in accordance with the rules and procedures of the American Film Marketing Association ("AFMA"), as said rules may be amended from time to time, with rights of discovery if requested by the arbitrator. Such rules and procedures are incorporated and made a part of this Agreement by reference. If AFMA shall refuse to accept jurisdiction of such dispute, then the parties agree to arbitrate such matter before and in accordance with the rules of the American Arbitration Association under its jurisdiction in California before a single arbitrator familiar with entertainment law. The parties shall have the right to engage in pre-hearing discovery in connection with such arbitration proceedings. The parties agree hereto that they will abide by and perform any award rendered in any arbitration conducted pursuant hereto, that any court having jurisdiction thereof may issue a judgment based upon such award and that the prevailing party in such arbitration and/or confirmation proceeding shall be entitled to recover its reasonable attorneys' fees and expenses. The arbitration will be held in Orange County, California and any award shall be final, binding and non-appealable. The Parties agree to accept service of process in accordance with the AFMA Rules. *

Section 35. STATE GOVERNANCE: Agreement shall be governed by and construed and enforced in accordance with the laws of the State of California without regard to conflict of law principles thereunder. *

I AGREE TO PROVIDE PROOF OF LIABILITY INSURANCE: By selecting this choice Licensee agrees to these terms. Licensee shall procure and provide a certificate of liability insurance, not less than 48 hours prior to any Shoot Date, verifying insurance coverage for damage to persons and property on and after such Shoot Date and on or about the Premises in the face amount of $1,000,000 and on an Occurrence basis, naming "Silver Dream Factory, Inc. as an "additional insured." Licensee's financial responsibility under this Agreement includes obtaining insurance protection against damage and/ or loss to Licensor's facilities, stages, sets, equipment, furnishings and props, and Licensee agrees to compensate Licensor for the full value (replacement value without deduction for depreciation) in the event of any such facilities, stages, sets, equipment, furnishing and props are lost, stolen or missing, or broken or damaged by any cause whatsoever, whether due to Licensee's fault or otherwise, in the course of or in connection with Licensee's use thereof. Licensee also agrees to send Licensor (by hand delivery, messenger, email, fax or other effective means) a copy or image of Licensee's Certificate of Insurance no later than 12:00 p.m. on the day that is 2 days prior to any Shoot Date or the date that is 3 days prior to any Shoot Date if the Shoot Date is a Monday. Failure to provide the necessary and proper Certificate of Insurance will result in the cancellation of Licensee's shoot and subject to cancellation terms set forth in SECTION 8 of this Agreement. Licensee must be the “INSURED” on the Certificate Of Insurance (COI).
